RINA is currently recruiting for a Global M&A Senior Manager to join its office in Genoa, Milan, Rome (Italy) within the Global Strategic Initiatives Division.
Mission
The Mergers & Acquisitions (M&A) Senior Manager will lead cross-functional teams to identify, assess, and execute strategic M&A transactions globally. This role requires a hands-on approach to deal sourcing, financial analysis, due diligence, and post-merger integration. The ideal candidate will possess strong analytical, negotiation, and leadership skills, as well as a deep understanding of the consulting and professional services industry.
Key Accountabilities
1. Deal Sourcing & Origination

Identify strategic acquisition targets aligned with the company’s growth strategy.

Build and maintain strong relationships with potential acquisition targets, industry advisors, investment banks, and financial sponsors.

Conduct industry analysis to identify new trends, key players, and emerging opportunities.
2. Due Diligence & Deal Execution

Lead cross-functional due diligence teams (legal, financial, operational, HR, etc.).

Coordinate with external advisors, including legal, financial, and tax consultants.

Identify and mitigate risks during due diligence while highlighting key deal drivers.

Structure and negotiate deal terms, including purchase agreements and key contractual provisions.
3. Financial Analysis & Valuation

Perform in-depth financial modeling, valuation, and return analysis to assess acquisition targets.

Provide insights and recommendations on valuation, deal structuring, and investment thesis.

Prepare and present investment cases, including presentations for executive leadership and the board of directors.
4. Transaction Management & Stakeholder Coordination

Serve as the central point of contact for internal and external stakeholders throughout the M&A process.

Manage the end-to-end transaction process, from initial approach to deal closure.

Ensure all internal stakeholders are aligned with deal strategy, rationale, and expected outcomes.
Education
Qualifications

Minimum of 10 years of experience in M&A, Corporate Development, or Strategy Consulting.

Proven track record of leading successful M&A deals from sourcing to integration.

Strong financial modeling and valuation skills.

Solid understanding of M&A deal structuring, legal frameworks, and regulatory considerations.

Excellent project management skills, with the ability to manage multiple projects simultaneously.

Strong analytical and problem-solving abilities.
